Results of Tokyo Lifestyle Co., Ltd.’s
twentieth Annual General Meeting of Shareholders

 

Tokyo Lifestyle Co., Ltd. (the “Company”)
held its twentieth annual common assembly of shareholders (the “Meeting”) on the fifth Floor at Harumi Building, 2-5-9 Kotobashi,
Sumida-ku, Tokyo, Japan, at 11:00 a.m. native time on June 26, 2026. The Company’s enterprise report for the twentieth fiscal 12 months (from
April 1, 2025 to March 31, 2026), together with the monetary statements which have undergone a voluntary audit by an impartial audit agency,
was introduced to the shareholders of the Company on the Meeting.

 

The Meeting was held with a quorum current, and
the agenda objects have been resolved by the shareholders of the Company in accordance with the Companies Act of Japan and the Company’s
Articles of Incorporation as follows:

 

1.	The shareholders authorised the monetary statements for the twentieth fiscal 12 months;
2.	The shareholders authorised the partial amendments to the Articles of Incorporation relating to the Board of Corporate Auditors and the Accounting Auditor;
3.	The shareholders authorised the year-end dividend of JPY1.890 per share which can be payable from September 14, 2026 to September 30, 2026 with the file date being March 31, 2026;
4.	The shareholders authorised the appointment of Sakurazaka Audit Corporation because the Accounting Auditor; and
5.	The shareholders authorised the appointment of three Corporate Auditors, specifically Keiichi Kimura, Akira Kotajima, and Yoshie Nakamura.
